Business

Most people view a lawyer as a necessary evil; someone to be avoided unless there is trouble.  Our goal, however, is to help you before trouble arises and, hopefully, keep legal problems at bay.

At your request, we'll sit down with you to better understand your business and then tailor our legal advice to your specific needs.  We evaluate potential legal risks that your business may face and craft advice, agreements and procedures to help reduce that risk.

We have experience forming and maintaining business entities such as corporations, limited liability companies and partnerships to help protect your personal assets from liability.  We draft specific agreements that spell out the responsibilities of the parties involved, reduce confusion and limit the potential for a frivolous lawsuit.

Among other things, we'll advise you about employment policies and help protect and maximize your intellectual property.  If you want to buy a business or expand through an acquisition, we'll help with your legal due diligence then create comprehensive documentation to help reduce your risk and make the process go smoothly.

And, if you're looking to turn your business over to the next generation or to sell your business, we can help plan for succession to the next generation or guide you through the ins and outs of a sale.

Business Sales & Acquisitions

We have significant experience advising clients in the purchase or sale a business or its assets.  Over the years we have assisted with transactions valued from just a few thousand dollars all the way up to more than thirty million dollars.  In fact, in just the last year alone, we have advised on or negotiated the following transactions:  The sale of three different internet companies, the purchase of one insurance agency and the sale of three more such agencies, the acquisition of three websites and their related domains, the purchase of an equine service business, the purchase of media assets and the purchase of an affiliate marketing program.

Business Contracts and Forms

Perhaps you already have a business up and running and all you need is a simple contract or other form.  Whether it's drafting a contract or reviewing one you already have, we are happy to assist you with any type of business agreement.  Among the many forms we routinely deal with are employment agreements, independent contractor agreements, non-disclosure and non-competition agreements, leases, purchase orders and terms, license agreements, assignments, deeds, promissory notes, security agreements, and many more.

Estate Planning

Estate planning is generally down on the list of things people want to think about, but planning for the future doesn't have to be scary or depressing.  Knowing your family will be secure in the future provides piece of mind and frees you to enjoy life.

With a little forethought, basic Wills and other documents can provide for your spouse and your children.  If your children are still under the age of majority, a Will is the mechanism to select a guardian and a good way to set up a trust to take care of your kids.  If you have a larger estate, proper planning is a must.

Real Estate

We help many clients with residential real estate transactions as well as review and draft both residential and commercial property leases.
